Non-Disclosure Agreement
A contract that legally protects shared confidential information.
A nondisclosure agreement legally binds parties to protect confidential information shared during a relationship and not to disclose it to outsiders. It is a foundational control for protecting intellectual property, trade secrets, and sensitive data when working with employees, vendors, or partners. Although it is a legal rather than technical safeguard, it supports data protection by creating enforceable consequences for leaks. It is frequently signed alongside operational agreements such as the MSA and BPA at the start of an engagement.
